1. Introduction and acceptance of terms
These Terms and Conditions form the agreement between you and Povnd for the use of Povnd's website, artist accounts, music distribution services, release tools, smartlinks, streaming and royalty analytics, promotional campaigns, and related support. They should be read together with any plan details or release authorization presented to you in your account or at checkout.
By creating an account, submitting a release, purchasing a plan, or otherwise using Povnd services, you accept these Terms. If you do not accept them, please do not use the services. Where a specific feature is covered by additional conditions shown in your account, those conditions also apply to your use of that feature.
2. Account registration and eligibility
You must be at least 13 years old to create an account, and you must have the authority to accept these Terms on your own behalf or on behalf of an artist or group you represent. You must provide accurate registration information, keep it current, and use the services in compliance with applicable law. Povnd's published terms state this minimum age; it will be checked against the services and applicable legal requirements before publication. To be confirmed before publication.
You are responsible for keeping your account credentials secure and for activity carried out through your account. Contact Povnd promptly if you suspect unauthorised access. Account access may be restricted where there are signs of fraudulent, abusive, or unauthorised activity.
3. Music ownership and intellectual property
You keep full ownership of the music and other content you own. Submitting a release to Povnd does not transfer copyright or master recording ownership to Povnd, now or at any point in the future.
You confirm that you own or control the rights needed for every recording, composition, sample, performance, artwork, artist name, likeness, and other material you submit, and that your use of Povnd services does not violate another person's rights or agreement. You must provide accurate release information and respond to reasonable requests that help us verify those rights.
4. Exclusive distribution rights
What exclusivity means at Povnd
Exclusive distribution concerns who may distribute a specific release through agreed channels during an agreed period. It is separate from copyright ownership: an exclusive distribution authorization never makes Povnd the owner of your master recordings, and it does not cover publishing, live performance, merchandise, or sync rights unless a separate written agreement expressly says so.
When exclusivity applies
Exclusivity would apply to a particular release only where you and Povnd expressly accept a separate written authorization identifying that release as exclusive. Creating an account, purchasing a plan, or submitting an ordinary release would not make any release exclusive.
Scope, duration, and termination
The written authorization would identify the covered recording(s), associated artwork and metadata, the territory, and the digital platforms or stores covered. It would state its start date and a fixed duration or a clear termination process. At the end of that period or on a valid termination, Povnd would stop new delivery of the covered release and submit takedown or withdrawal requests to the relevant services. Store removal times and continued availability in third-party caches are controlled by those services and may not be immediate. Royalties already reported remain subject to the applicable plan and approved payment terms.
5. Distribution licensing and authorization
When you submit a release for distribution, you authorize Povnd to host, process, encode, display, administer, promote, and deliver that release and its metadata to the streaming platforms and stores needed to provide the service you selected. Unless a separate written exclusive authorization applies, this authorization is non-exclusive.
The authorization is limited to performing the services you requested. It ends for a release when distribution of that release is removed under section 12, or when your account is closed and distribution has been withdrawn, subject to the removal processes of third-party platforms.
6. Release submissions, metadata, and approvals
You are responsible for the accuracy of your titles, credits, artist names, release dates, artwork, identifiers, lyrics where supplied, and all other metadata. Submit content in the formats and by the deadlines shown in your account. Povnd may request corrections or decline a submission that does not meet its requirements or a platform's rules.
Allow reasonable time for review and third-party delivery. Release schedules, corrections, platform approvals, and publication timing can vary. Povnd does not guarantee a specific release date, acceptance by any platform, editorial playlist placement, availability in every territory, or a particular level of streams or earnings, unless Povnd confirms otherwise in writing for a specific release.
7. Artist responsibilities and content restrictions
You agree not to submit material you do not have authority to distribute; misrepresent ownership, credits, or artist identity; manipulate streams, analytics, or payment activity; use bots or other deceptive methods; submit malicious files; attempt unauthorised access to the platform or other accounts; harass or abuse other users or Povnd staff; or use Povnd for unlawful or fraudulent activity.
Povnd may decline, hold, or remove content that appears to violate rights, platform rules, applicable law, or these Terms, and may request evidence of rights or authorization before continuing distribution of a release.
8. Subscription plans, pricing, and renewals
The plans shown on Povnd's public website are:
- Premium: $5 per year; the artist receives 80% of applicable royalties.
- Advance: $15 per year; the artist receives 100% of applicable royalties.
Subscriptions renew annually, and checkout is handled by a payment provider; Povnd's public website identifies Paystack. Please review the plan and price displayed at checkout before purchase. The renewal date, the method and deadline for cancellation, the handling of failed renewals, and any applicable fees or deductions will be clearly disclosed at checkout and in the final approved Terms once confirmed. Povnd's current public terms describe payments as generally non-refundable, subject to any rights that cannot be excluded by law. Renewal and cancellation details to be confirmed before publication.
9. Royalties, earnings, and payment calculations
Your plan determines your royalty share: 80% of applicable royalties on Premium, and 100% on Advance. The share applies to royalties attributable to your covered releases, based on the statements and amounts Povnd receives from the relevant streaming services and stores.
Platform reporting can be delayed, revised, or adjusted by the reporting service, and corrections can affect previously reported figures. The exact calculation base, treatment of corrections, reporting currency, and statement schedule will be confirmed before publication. No stream count, earnings amount, or payment date is guaranteed. 10. Withdrawal requests and payment processing
Where withdrawal functionality is available to your account, submit withdrawal requests using the payout instructions shown in your account. Paid plans are purchased through the checkout method presented by Povnd; payment-provider terms may also apply. Please do not send full payment-card information to Povnd by email.
The minimum withdrawal amount, payout methods, verification requirements, supported currencies, and processing times are not yet specified in Povnd's public materials. These conditions will be confirmed and published before these Terms are treated as complete, and nothing in this section implies a threshold or timing. 11. Third-party streaming platforms
Streaming services, online stores, payment providers, analytics tools, and social networks are operated by third parties. Their availability, policies, acceptance decisions, reporting, payment schedules, and takedown timing are outside Povnd's control. Your use of those services may be subject to their separate terms, and their decisions about content and accounts are their own.
12. Copyright disputes and takedown requests
If you believe content distributed through Povnd infringes your rights, send a notice describing the work, the allegedly infringing release, and your interest in the rights to hello@povnd.xyz. Povnd may remove or suspend the affected release while a complaint is reviewed, and may request supporting evidence from either side.
Artists may respond to a complaint with evidence of their rights. Where a complaint is upheld or a rights holder requires it, Povnd will remove the affected release and may take action on the account under section 13. The process for handling repeat infringement claims will be confirmed before publication. To be confirmed before publication.
13. Account suspension and termination
You may close your account at any time by contacting Povnd. Povnd may restrict, suspend, or terminate an account for serious or repeated violations of these Terms, fraud, abuse, legal obligation, or security concerns, and may remove affected releases.
Where practicable, Povnd will explain the reason and give an opportunity to address the issue, except where immediate action is required by law, platform requirement, or security. What happens to active releases and reported but unpaid earnings after closure will be described in the final approved Terms. Closure and final payout handling to be confirmed before publication.
14. Cancellation and refunds
You can cancel your subscription through the process published in your account or by contacting Povnd. Cancellation stops future renewals; the treatment of the remainder of a paid term is described in Povnd's public terms, which describe payments as generally non-refundable, subject to any rights that cannot be excluded by law.

15. Limitations of liability
Povnd services are provided "as is" and "as available." To the extent permitted by law, Povnd does not guarantee uninterrupted operation, error-free features, distribution approval, revenue, platform compatibility, or promotional results, and is not liable for losses caused by third-party platforms, reporting delays, or events outside its reasonable control.
You are responsible for claims arising from content you submit or rights you do not control, and for keeping your account secure. Nothing in these Terms limits a right or remedy that cannot lawfully be limited. The final liability, indemnity, dispute, and governing-law provisions will be reviewed by Povnd's legal adviser before publication; the governing-law jurisdiction is not yet published. 16. Changes to this agreement
Povnd may update these Terms as its services, plans, or policies change. Updated versions will be posted on this page with a revised effective date, and material changes will be highlighted. Where the law requires notice or consent for a change, Povnd will provide it before the change takes effect. Continued use of the services after an update takes effect is treated as acceptance of the updated Terms only where that is permitted by law.
